1) Introduction



These Terms of Service (“Terms”) are a binding agreement between SideBling and you (“you”, “user”). By creating an account or using sidebling.online or our apps (together, the “Service”), you agree to these Terms and our policies referenced here (Privacy Policy, Creator Guidelines, Brand/Campaign Guidelines). If you do not agree, do not use the Service.



2) Key definitions



Affiliate – a user who submits links/content to campaigns to earn rewards.

Creator – a user who creates and funds campaigns.

Campaign – a promotion configured by a Brand (rules, platforms, CPM, budget, dates).

Eligible Content – a public post (e.g., TikTok, Instagram, YouTube) that meets campaign rules.

Wallet – in-app balance reflecting rewards/fees/withdrawals.

CPM – reward rate per 1,000 eligible views (or as displayed).



3) Account & eligibility



  • You must be 13+ (or the minimum age of your country; 16+ in the EEA for consent).

  • Provide accurate info; keep credentials secure.

  • We may verify identity and ownership of social accounts/content.

  • If acting for a company, you represent you have authority to bind that company.




4) Your content & license



You retain ownership of your content. By submitting links/content to a Campaign, you grant SideBling a non-exclusive, worldwide, royalty-free license to (a) access, track, and verify metrics; (b) display embeds, thumbnails, or snippets in the Service; and (c) use content solely to operate and promote the Campaign and SideBling. You must have all rights (music, footage, trademarks, likeness).



5) Campaigns, tracking & payouts



  • Campaign rules (platforms, CPM, geo, dates, per-post caps) are shown in-product.

  • We track metrics (e.g., views/plays) via official platform APIs, public counters, and trusted providers. Only post-approval deltas count.

  • Payouts: Wallets credit on a schedule (e.g., hourly) based on Δ eligible views × CPM/1000, subject to caps, fraud checks, and budget. Minimum payout thresholds may roll over.

  • Fees: Platform/service fees may apply (shown in-product); network/withdrawal fees may apply.

  • Taxes: You are responsible for taxes. We may withhold where required.

  • Metric disputes: Our logs (including third-party data) are authoritative.




6) Acceptable use



Do not buy/sell fake engagement, use bots, manipulate counters, scrape or attack our Service, infringe IP or privacy rights, harass others, or violate third-party platform rules.



7) Third-party platforms



Your use of TikTok, Instagram, YouTube, etc., is governed by their terms. We may require official connections (e.g., Instagram Graph) for reliable insights. Disconnecting can stop tracking and payouts.



8) Intellectual property



SideBling, the SideBling name, logos, and the Service are our IP. Except for your content, all rights are reserved. Don’t use our marks without written permission.



9) Wallets, withdrawals & currency



  • Wallet balances are not bank accounts and may be held/settled by licensed payment partners.

  • KYC/AML checks may be required before withdrawals.

  • Balances may display in your selected currency; conversions are for convenience.

  • Dormant balances/unclaimed funds handled per applicable law.




10) Suspension & termination



We may suspend/terminate accounts or remove content for suspected fraud, policy violations, legal risk, or non-payment. You may close your account anytime. Licenses and obligations that by nature should survive will continue.



11) Disclaimers



Service provided “as is”. We do not guarantee uninterrupted access, specific earnings, or ongoing availability of third-party platforms/metrics.



12) Limitation of liability



To the maximum extent permitted by law, we are not liable for indirect/consequential damages, lost profits, data, or goodwill. Our total liability for claims relating to the Service is limited to the greater of (a) the amounts you paid us in the 3 months before the claim, or (b) ₦150,000 (or USD equivalent).



13) Indemnity



You will defend and indemnify SideBling against claims arising from your content, breach of these Terms, or violation of third-party rights/platform rules.



14) Governing law & disputes



These Terms are governed by the laws of the Federal Republic of Nigeria. Unresolved disputes after 30 days of good-faith negotiation will be finally settled by binding arbitration in Lagos, Nigeria under Lagos Court of Arbitration (LCA) rules. Class actions are waived to the extent permitted by law.



15) Changes



We may update these Terms. Material changes will be notified in-app or by email. Continued use after the effective date signifies acceptance.
